AIxCrypto to Buy Faraday Future's Robotics Business in $200 Million Stock Deal

06:03 PM EDT, 09/28/2026 (MT Newswires) -- AIxCrypto Holdings (AIXC) entered a nonbinding term sheet to acquire Faraday Future Intelligent Electric's (FFAI) robotics business for about $200 million in stock. AIxCrypto said Monday it will be renamed FF EAI Robotics and change its ticker to FFR effective Wednesday. It will discontinue its crypto strategy in a shift to what it called the first Nasdaq-listed pure-play robotics company. Both companies' boards have approved the term sheet. The per-share price will be the lower of $2.246 or the five-day average closing price prior to signing. If the price falls below that threshold, AIxCrypto will declare a one-time special stock dividend to holders of record prior to closing. Shares issued to Faraday will be subject to an 18-month lock-up. Because Faraday is AIxCrypto's majority stockholder, the deal is subject to review by a special committee of independent directors, which has approved entering into the nonbinding term sheet but has not yet approved the acquisition. The proposed transaction remains subject to definitive agreements, stockholder approvals, and other customary closing conditions, and may not be completed, the company said.
