Neighborhood Intelligence, Fathom Call Off Proposed Merger

The companies said Monday their boards concluded that proceeding with the merger at current valuations would not appropriately reflect the fair value of either company. The companies said they would continue to look for ways to work together and that they are considering data sharing, among other areas of collaboration. The companies had announced plans back in June for Neighborhood Intelligence, then known as Bed Bath & Beyond, to acquire real estate services platform Fathom for about $53.4 million in equity. Bed Bath & Beyond said at the time that the deal would expand its business into brokerage, mortgage, title, insurance and homeowner financial services, creating an end-to-end homeownership platform. Last month the companies said they agreed to explore a potential alternative transaction combining Fathom's national residential brokerage and title business with substantially all of Neighborhood Intelligence's digital-asset holdings, which would replace the companies' merger agreement. Neighborhood Intelligence also said Monday it separately determined it would retain ownership and control of its blockchain and digital-asset investments. "We are encouraged by the potential of these assets and believe retaining them gives our shareholders the best opportunity to participate in their future value," Neighborhood Intelligence's Chief Executive Marcus Lemonis said. Fathom said it had entered the deal because it believed that combining its national real-estate and title businesses with Neighborhood Intelligence's technology, data and other assets could create long-term value. "At current valuations, however, we do not believe a merger appropriately reflects the fair value of either company," said Scott Flanders, chairman of Fathom's board.
