PTC to Be Acquired by Schneider Electric for $23.7 Billion
MT newswire2026/10/05 07:3803:38 AM EDT, 10/05/2026 (MT Newswires) -- PTC (PTC) will be acquired by Schneider Electric in an all-cash deal valued at $23.7 billion, Schneider Electric said Monday. Schneider said it will pay $205 per PTC share, valuing the company's equity at about $22.6 billion and representing a 42.3% premium to PTC's last closing price. The company said it expects 250 million euros ($279.7 million) in annual cost synergies by the third year and about 800 million euros in revenue synergies. The deal, expected to close by Q3 2027, would be low-single-digit accretive to adjusted EPS in the first full year and mid-to-high single digit accretive including full run-rate synergies, the company said. Schneider said it plans to fund the roughly 22 billion euro cash consideration with 5 billion euro to 6 billion euro of equity and 16 billion euro to 17 billion euro of new debt. PTC did not immediately respond to MT Newswires' request for comment.
