01:55 PM EDT, 10/01/2026 (MT Newswires) -- TempraMed Technologies (VIVI.CN) closed its non-brokered private placement offering of unsecured convertible debentures and units raising $1.2 million, it said in a statement late Wednesday. The company issued $600,000 of principal amount of convertible debentures and 1.2-million units under the offering. Each unit consists of one share and one warrant, with each warrant entitling the holder to buy a share for CA$1.00 at any time on or before March 30, 2028. The convertible debentures issued under the offering will mature on Sept. 30, 2027, and bear interest at a rate of 10% per year, calculated monthly and payable quarterly in cash. The outstanding principal amount owed under each convertible debenture may be converted into common shares at $0.50 apiece by the holder at any time on or before Sept. 30, 2027, it added. Proceeds will be used to fund new inventory, product development, and to scale the sales and marketing division globally, as well as general working capital needs.
