Invesque Aims to Go Private With Controlling Shareholder Transaction

01:04 PM EDT, 10/01/2026 (MT Newswires) -- Invesque (IVQ.TO) said on Thursday that it entered into an arrangement agreement with a purchaser to acquire all issued and outstanding common shares in its capital, other than substantially the shares held by funds managed by Magnetar Financial, in a go-private transaction. The purchaser, managed by Magnetar, will acquire the shares at $0.101 per share, Invesque said. The consideration represents a premium of approximately 68% over the Sept. 29 closing price. Invesque's Special Committee unanimously recommended shareholders vote in favor of the transaction at a meeting that is expected on or before Nov. 20, said the company. If approved, Invesque will become a wholly-owned subsidiary of the purchaser and its shares will be delisted from the TSX, once the arrangement is completed, it said. The arrangement is subject to some conditions and approvals, it added. The company expects the arrangement to close on or before the end of 2026 and, unless otherwise agreed to between the company and the purchaser, in any event before Jan. 31, 2027, added Invesque. "Having received legal and financial advice and the unanimous recommendation from the Special Committee, the Board unanimously (with interested directors abstaining from voting) approved the Arrangement and recommends that shareholders of the Company vote in favour of the Arrangement Resolution," said the company. "Management and the Board of Directors have worked diligently over the last several years to sell assets and return capital to shareholders. This transaction allows the return of capital much sooner than would otherwise occur," said Adlai Chester, Chief Executive Officer of Invesque. The company's shares were last seen up CA$0.04, or 42.1%, at CA$0.135 on the Toronto Stock Exchange. Price: 0.14, Change: +0.04, Percent Change: +42.11
