Copart Extends Tender Offer for ACV Auctions to Oct. 7

08:36 AM EDT, 10/01/2026 (MT Newswires) -- Copart (CPRT) extended its all-cash tender offer to acquire ACV Auctions (ACVA) to Oct. 7 from the previous expiration of Sept. 30, the company said Thursday. The offer remains at $10.50 per ACV share in cash, without interest and subject to applicable withholding taxes, it added. Copart said it withdrew and refiled its antitrust filing to give the US Department of Justice and Federal Trade Commission additional time to review the deal. The waiting period under the Hart-Scott-Rodino Act is currently set to expire Oct. 13, unless ended earlier. As of Sept. 30, shareholders had tendered about 81.3 million ACV shares, representing 47.78% of the shares outstanding, with the shares not withdrawn, Copart said. The company said the deal still requires the tender offer conditions to be met, including tenders representing more than half of ACV's outstanding shares.
