- Element, an acquisition vehicle formed by GMT Venture Partners, will pay USD 5.5 million in cash at closing, subject to adjustments.
- The earlier agreement to sell the unit to Multiplex Bio was terminated after GMT Venture submitted an unsolicited proposal on Aug. 29, 2026.
- The revised terms lift net cash used in Treeline merger exchange-ratio calculations by about USD 15 million versus the Multiplex Bio deal.
- Closing is targeted by end-2026, substantially concurrent with the planned Treeline transaction, subject to stockholder approval and customary conditions.
