- Assets include about 46,000 net mineral acres in the Midland Basin, about 500 gross operated wells, midstream assets, water infrastructure.
- Funding expected via about USD 1.5 billion asset-backed securitization before closing, supported by its revolving credit facility liquidity.
- Deals targeted to close simultaneously in Q4 2026, subject to customary closing conditions.
- Merger agreement includes a USD 50 million deposit; Birch can claim a USD 50 million termination fee in specified failure-to-close scenarios.
