- The ruling said the planned ownership-structure transaction would not trigger a mandatory offer obligation for the Mankel family shareholders.
- Kaba family shareholders must be counted as minority shareholders for the “majority of the minority” vote on the amendment.
- Fees tied to the decision total CHF 50,000, charged jointly to dormakaba and the involved shareholder groups.
