Vertiv Unit to Acquire Utility Innovation for $1.45 Billion

06:52 AM EDT, 09/02/2026 (MT Newswires) -- Vertiv's (VRT) subsidiary signed a deal to acquire Utility Innovation for about $1.45 billion in cash at closing, the company said Wednesday. The deal provides for up to $1.15 billion in additional cash consideration based on Utility Innovation's achievement of certain financial milestones. Vertiv expects the deal to be accretive to adjusted EPS in the first year after completion. The acquisition will expand Vertiv's portfolio with the addition of microgrid controls and onsite generation orchestration, among other capabilities. The deal is subject to regulatory approvals and customary closing conditions and is set to close in Q4.
