The “price tag” for Apple’s second CEO transition of the century has been officially determined. Through the submission of an 8-K/A document to the SEC, Apple has disclosed compensation details for incoming CEO John Ternus and Executive Chairman Tim Cook, using a differentiated equity-based performance incentives mechanism. This move sends a strong signal to the market of Apple’s commitment to a smooth succession and strategic continuity, especially under the dual pressures of the AI race and supply chain restructuring.

According to the latest disclosed documents, John Ternus’s target total compensation for fiscal year 2027 is approximately $58 million, with as much as $55 million in equity awards, 75% of which is directly tied to the S&P 500’s performance. This high-intensity performance incentive package deeply aligns his personal interests with the long-term returns of shareholders.

Meanwhile, Tim Cook, now serving as Executive Chairman, is not “leaving empty-handed.” His new compensation plan’s target total is about $47 million. Although his base salary is reduced to $2 million, only half of the $45 million equity award is tied to the broad market’s performance, highlighting his “ballast stone” value in providing political-business influence and strategic guidance during this transition period.

This compensation package, effective from September, is more than just a list of executive perks—it is a strategic declaration from Apple, emphasizing its bet on hardware fundamentals and management stability amid a complex macro environment, directly addressing Wall Street’s concerns about leadership gaps and falling behind in AI.

$58 Million Compensation Target: Ternus’s 75% Performance Incentive and Hardware DNA

According to regulatory filings, John Ternus’s compensation package consists of fixed salary and long-term equity incentives.

Effective September 1, his base annual salary will be adjusted to $3 million. He will also receive a pro-rated Restricted Stock Unit (RSU) award valued at $2.5 million for fiscal year 2026, and an annual equity award for fiscal year 2027 with a target value of up to $55 million.

Of Ternus’s $55 million equity award, up to 75% will be determined by Apple’s performance relative to the S&P 500 index (TSR), with the remaining 25% awarded as time-based RSUs that vest semiannually.

This means that Ternus must lead Apple to significantly outperform the market in order to receive the full reward.

This incentive structure highlights Apple’s emphasis on its hardware foundation. Since joining Apple in 2001, Ternus has long overseen hardware engineering and led the development of the iPhone, Mac, Vision Pro, and other core product lines.

In an environment of increasing competition in software and AI services, Apple’s choice of a leader with deep expertise in hardware engineering signals its intent to fortify its moat through premium hardware experiences.

The market responded positively: on Ternus’s first day in charge, Apple’s stock price rose against the broader trend. His announcement of an “extraordinary” upcoming event in a company-wide letter and his rapid gains in followers on social media platform X indicate initial acceptance from both investors and the public towards the new leadership.

$47 Million Retention Incentive: Tim Cook’s “Retirement Without Retirement” and Smooth Transition

Echoing the new CEO's compensation, Tim Cook has also received a substantial retention package.

Effective September 26, Tim Cook’s annual salary will be adjusted from $3 million to $2 million, alongside an approved $45 million equity award for fiscal year 2027, bringing his total target compensation to around $47 million.

Compared to his historical compensation, this arrangement reflects a focus on ensuring a stable transition. In fiscal 2025, Tim Cook’s total compensation stood at $74.3 million. While the new plan lowers both base pay and total targets, the $45 million equity award still presents a very high incentive level.

Notably, the proportion of Tim Cook’s equity award tied to performance is relatively low, with only 50% linked to the S&P 500 index’s performance.

During his 15-year tenure as CEO, Tim Cook led Apple’s annual revenue to nearly $500 billion and saw the stock price soar over 2,200%. The decreased performance-linked ratio reflects respect for the distinguished former CEO and serves as motivation for his retention.

Tim Cook plans to remain for the long term in his new role as Executive Chairman and will continue to participate in key affairs such as communication with policymakers.

The generous retention package ensures he can continue exerting his tremendous influence on global political-business relations and supply chain management during the transition, avoiding external uncertainties caused by sudden changes at the top.

Governance Logic Behind the Compensation Structure: Strategic Focus to Meet Dual Challenges

This CEO transition comes alongside a reorganization of Apple’s hardware leadership, with Johny Srouji promoted to Chief Hardware Officer and Tom Marieb taking over as Head of Hardware Engineering.
