- Directors were authorized to execute the merger agreement and related transaction agreements, subject to the deal’s terms and conditions.
- Other measures cleared included adopting amended and restated governing documents, setting the board size at five, approving share issuance tied to the merger and PIPE, and permitting adjournment if needed.
