- PPSUs run through Aug. 17, 2031, split into three tranches tied to CEO service through 2027, 2028, 2029.
- Each tranche vests only if shares meet a 30-day VWAP hurdle of $50, $60, or $75 during the performance period.
- Unvested PPSUs are generally forfeited on termination, with limited vesting on certain terminations without cause, good reason, death, or disability.
- On a change in control, vesting depends on service plus deal price or prior hurdle achievement, with proration between hurdles via interpolation.
