SEC Clears Tesla's New Retail Voting System. What Changes for Investors?

Small Tesla investors can now sign up once and have their shares vote with the board at every meeting. The SEC cleared the plan on Tuesday. Robinhoods CEO calls it what ownership should look like. However, a New York City official called the ExxonMobil program it builds on a blank check. Why Tesla Wants Small Investors to Vote Most small shareholders never vote. Retail investors cast only 28% of their shares in 2025, according to Broadridge data cited in Teslas request. Institutions voted 76.6% of theirs. That difference is expensive, seeing as Tesla said it spent over $2 million on proxy solicitors, firms paid to chase votes, across its last two annual meetings. The votes also matter considering Norways sovereign wealth fund voted down Musks pay deals twice. How the Automatic Vote Works The approval came as a no-action letter. It is a promise from SEC staff not to recommend enforcement if Tesla sticks to its plan. Investors choose to join. Their shares then follow the boards recommendation at each meeting. They still receive every voting packet. They can override any single vote or quit at any time, for free. Tesla must send yearly reminders. Investors can also leave contested board elections and mergers out of the automatic vote. Robinhood Backs It as Critics Push Back Robinhood CEO Vlad Tenev said the brokerage worked with Tesla on the program. This is what ownership should look like. When millions of people own shares of a public company, it should be easier for them to vote their shares, he wrote. Tesla General Counsel Brandon Ehrhart wrote that retail investors should be heard, a stance that Elon Musk appeared to favor, should his single-word reply be enough to go by. Any company can now copy the model. ExxonMobil ran it first after a September 2025 SEC letter and signed up more than 100,000 shareholders by March 2026. However, not everyone cheered. New York City Comptroller Mark Levine called Exxons version a blank check for the Boards recommendations in a May 2026 filing.
