The total transaction value is approximately $1.9 billion, representing a 45% premium over ACV's previous closing price. Both companies' boards of directors have unanimously approved the deal, which is expected to be completed by the end of 2026. Closing conditions include the majority of ACV’s publicly traded shares tendering the offer and the expiration of the U.S. antitrust regulatory waiting period.
